TERMS
AND CONDITIONS OF SALE
1)
Payment Terms:
Invoices will be generated
by LubeSci on the date of shipment to purchaser.
Domestic Terms are 2% 10 Days, Net 30 Days
from Invoice Date. A 2% penalty charge may
be assessed on all invoices not paid within
30 days of the invoice date. For International
Terms, contact LubeSci.
2) Taxes and
Other Charges: All
prices quoted by LubeSci are exclusive of
any and all federal, state, municipal, or
other government sales, use, excise, occupational,
property, or other tax that may be applied
to the transaction. All such taxes or charges,
which LubeSci may be required to pay shall
be invoiced to purchaser. Terms of such invoices
shall be Net 15 Days from invoice date.
3) Shipping
and Shipping Charges: Unless
specifically instructed by purchaser, LubeSci
shall determine routing of shipments to purchaser.
All prices are quoted F.O.B. Fountain Valley,
CA and all shipping costs shall be the sole
responsibility of purchaser. Risk of loss
or delay of shipment shall be the responsibility
of purchaser.
4) Warranty:
LubeSci warranties it's
products to be free from defects in material
or workmanship. LubeSci expressly limits it's
responsibility under said warranty to the
replacement of LubeSci products, which are
determined to be defective. Purchaser understands
and agrees that LubeSci is not responsible
for product failures due to system design,
improper component installation, or lubricant

5) Minimum Order:
Any order for less than
a net selling price of $ 75.00 shall be billed
a minimum net amount of $ 75.00.
6) Export Costs:
All additional costs
of handling, packaging, shipping, duties,
export fees,
and other charges incurred for shipment outside
the United States shall be the responsibility
of purchaser. LubeSci shall comply with any
and all statutes, regulations or directives
of the United States or other government with
jurisdiction.
7) Applicable
Law: All
transaction between LubeSci and purchaser
shall be governed and interpreted according
to the laws of the state of California.
8) Product Changes:
Product designs and
specifications are subject to change without
notice, and in the event such changes, LubeSci
has no responsibility or obligation to make
changes in LubeSci products previously purchased
by purchaser.
9) Price Changes:
Prices are subject to
change without notice.
10) Modification
of Agreement:
These terms and conditions
supercede all prior oral or written
agreements between LubeSci and purchaser.
Any changes or exceptions to these terms and
conditions must be set forth in writing and
made part of a purchase order or contract
between LubeSci and purchaser.
11) Future Changes
in Terms and Conditions of Sale:
LubeSci has the right
and sole discretion to make changes in its
terms and conditions of sale then in effect.
Said changes shall not apply to previously
accepted orders or contracts. |
